We, the undersigned for the purposes of forming a non-profit association do hereby associate ourselves as a body and do hereby adopt the following Constitution and Bylaws:

Article I

Name: The name of the association shall be The Sun Life Computer Club.

Article II

Address: The location and address of the office of the association is Sun Life Trailer Resort
5055 East University Drive
Mesa, Arizona 85205

Article III

Founders: The names and addresses of all the association are:

Article IV

Period: The period of this association shall be perpetual.

Article V

The general management of affairs for this non-profit association shall be vested in a Board of Directors of t not less than five(5) individuals, and the Board of Directors shall be elected by the associators of the non-profit association or their successors.

Article VI

Annual Meeting: The annual meeting of the membership shall be held at a time and place affixed by the bylaws of the Non-Profit Association.

Article I
The objective of the Sun Life Computer Club shall be:

1. To receive, hold and dispense monies, equipment and properties for the promotion of Computer usage.
2. To demystify the computer.
3. To provide instruction in the use of computers and their software's such as Word Perfect, Quarttro or Windows.
4. To familiarize each resident of Sun Life Trailer Resort with the various uses to which computers can be put in their home, such as budgeting, genealogy researching, correspondence (e.g. individualized Christmas letters and mailing lists), record keeping and gaming.
5.  To provide a forum whereby club members can exchange information and solve problems relative to the operation of their computers and the associated software

6.To provide information to prospective computer buyers about the desirable options available in computers and/or printers, so that the buyers can customize units to match their needs

7. To enhance the skills of novice computer users and to broaden the skills of intermediate users.

8. To exchange information on programming procedures and the benefits resulting form writing ones own program.

Article II

Section 1. Membership Establishment
Membership is established on an individual or a family basis.
Section 2. Regular Membership
residents of SunLife Trailer Resort my become members upon the payment of such dues and /or assessments as are set for regular membership by the Board of Directors and approved by the membership.
Section 3. Life Membership
Members may become life members by a one-time payment of a sum equal to five time the annual dues as they are then set.

Section 4. Associate Membership
Associate membership may be granted to non-residents of SunLife Trailer Resort upon recommendation of the Board of Directors and the payment of such dues and/or assessments as are set for associate membership by the Board of Directors and approved by eh membership.
Associate members may neither vote for, nor serve on the Board of Directors.

Article III

Section 1:Officers: 
The officers of the SunLife Computer Club shall be a President, a Vice President, A Secretary, a Treasurer, and a Director. These officers shall perform the duties prescribed by these bylaws and by the parliamentary authority adopted by The SunLife Computer Club.  These officers will constitute the Board of Directors.

Section 2. Terms of Offices:
Officers shall hold office for a term of two yeas or until their successors are elected.  The term of office shall begin immediately upon election. To provide continuity in the Board of Directors, the initial term of office fof the vice-president and the director shall be for one year. Service during the 1992-93 season shall  not count within the initial term of office.
Section 3. Succession to offices:
No member shall serve on the Board of Directors for more than two consecutive terms.
Section 4. Vacancies:
In case of a vacancy other than that of the presidency, the Board of Directors shall at the next meeting following determination of a vacancy, elect a person to fill the vacated office. The Vice President shall assume to the office of President upon its becoming vacant.

Section 5. Nominations:  Officers and directors are to be nominated by a nominating committee or from the floor at the annual meeting and are to be elected by a simple majority of those present and voting at the annual meeting.

Article IV

Section 1. The officers of the SunLife Computer Club shall constitute the Board of Directors.
Section 2. The Board of Directors shall have general supervision of the affairs of the SunLife Computer Club between its annual meeting, make recommendations to the club, and shall perform such other duties as are specified by these bylaws.
Section3. Meetings are to be held monthly November through April at a date, time, and place to be determined by the Board of Directors at the annual meeting.
Section 4. Special meetings may be called by the President or by any three members of the Board of Directors upon three days written notice delivered to all members of the Board of Directors.
Section 5. Three members of the Board of Directors shall constitute a quorum.

Article VI

Secton1. A facility committee of not less than three members shall establish and maintain a list of approved computer instructors and monitors as they become necessary, and establish the responsibilities, duties and privileges of each group.
Section 2. Committees, standing or special, shall be appointed by the President as The Din Life Computer Club membership or the Board of Directors shall from time to time deem necessary to carry on the work of The SunLife Computer Club.  The President shall be Ex officio a member of all committees except nomination committee

Disposition of Funds and Properties Upon Dissociation
Upon the vote of two thirds of those members attending a special meeting called for that purpose, this SunLife Computer Club will be dissociated. Any un-dispersed fund and/ or equipment held at that time will be transferred to the Administration of SunLife Trailer Resort for the general up of SunLife Trailer Resort.

Article VIII

Section 1. Dues.
Individual dues will be 20.00 per year, payable in November. Family dues will be one and one half times the annual individual dues. The dues paying year will extend form November 1 through October 31.  Upon Payment of a lump some equal to five times the annual dues, a member will be grated a life time membership and be exempt from further payment of annual dues.

Section 2. Assessments.
Assessments for the acquisitions of equipment, supplies, furnishings, or for other special purposes may be proposed by the Board of Directors or by any member. Notice of assessment must be presented at a meeting held at least two weeks prior to the meeting at which it is to be voted upon.  Such presentation must be a written notice delivered to all regular, life, and associate members.  Approval must be by a simple majority of those voting.  Voting my be by proxy or in person.

Article IX
Parliamentary Authority
The rules contained in the current edition of Robert's Rules of Order Newly Revised shall govern the SunLife Computer Club in all cases to which they are applicable and in which they are not inconsistent with the Constitution, with these bylaws, and with any special rules of order The SunLife Computer Club may adopt.

Article X
These bylaws can be amended at any special or regular meeting of the SunLife Computer Club by two-thirds vote of those attending, provided that the amendment has been submitted in writing at the previous meeting.
